Our Contract (E-SIGN)

You are entering a binding contract with https://www.offerx.io, the Realtors® or lenders who use it and their parents, subsidiaries and affiliates, and Commissions Inc. (“us”). By (1) using this website "https://www.offerx.io", and (2) by submitting your information to “Continue My Search” and create a user profile, you agree that you are giving your express written consent to the all the terms below, as well as our Privacy Policy, both of which contain an Arbitration Agreement and Class Action Waiver. You agree that your doing so constitutes your electronic signature, and is equivalent to a written signature. You may choose to receive this contract on paper by calling us at 303-905-0700 or emailing us at support@offerx.io. You may withdraw this consent by using the opt-out procedures described in the “Our Communications With You” section below.

E-MAILS, CALLS, AND TEXTS. THESE COMMUNICATIONS MAY INCLUDE TELEMARKETING MESSAGES, THROUGH THE USE OF EMAIL, LANDLINE PHONE, FAX, CELLULAR PHONE, AND TEXT MESSAGES (INCLUDING SMS AND MMS).

AUTODIALING. WE MAY USE AN AUTOMATIC TELEPHONE DIALING SYSTEM (OR “AUTO-DIALER”), WHICH MAY EMPLOY AN ARTIFICIAL OR PRE-RECORDED VOICE OR “ROBOTEXTS.” YOUR CARRIER’S STANDARD RATES AND CHARGES MAY APPLY.

NO PURCHASE NECESSARY. AGREEING TO THESE COMMUNICATIONS IS NOT A CONDITION OF PURCHASING ANY PROPERTY, GOODS, OR SERVICES FROM US.

OPTING OUT. YOU MAY REVOKE YOUR CONSENT TO RECEIVE COMMUNICATIONS AT ANY TIME BY REPLYING “STOP” TO ANY OF OUR TEXTS, OR BY ANY OTHER REASONABLE MEANS. WE WILL MAKE A COMMERCIALLY REASONABLE EFFORT TO COMPLY WITH ANY COMMUNICATIONS FROM YOU OPTING OUT, BUT REPLY “STOP” WILL AUTOMATICALLY UNSUBSCRIBE YOU, AND WE RECOMMEND THAT METHOD. 1. Eligibility

  • You must be at least 18 years old and capable of entering into a binding contract.

  • If you are acting on behalf of a company, you represent that you have authority to bind that company.

2. Services Provided

OfferX provides an online platform that allows homeowners, buyers, and licensed real estate agents to:

  • List properties for sale.

  • Make and manage offers.

  • Access related real estate resources.

We are not a brokerage unless expressly stated, and we do not guarantee the outcome of any listing, offer, or transaction.

3. User Responsibilities

By using OfferX, you agree to:

  • Provide accurate, complete, and current information.

  • Comply with all applicable laws, including real estate regulations.

  • Not misuse the platform (no fraudulent offers, misrepresentations, or unlawful conduct).

  • Be solely responsible for your listings, offers, and communications.

4. Fees & Payments

  • Some features may require payment (e.g., per-listing fee, subscription fee).

  • All fees are disclosed prior to purchase and are non-refundable unless required by law.

  • You authorize OfferX to process payments through third-party providers.

5. No Guarantee or Fiduciary Duty

  • OfferX does not act as your fiduciary, agent, or broker unless specifically contracted.

  • We do not guarantee that a property will sell, that offers will be received, or that any transaction will close.

  • Users assume full responsibility for their decisions and interactions.

6. Intellectual Property

  • The Site and all content (logos, designs, text, graphics, software) are owned by OfferX or licensed to us.

  • You may not copy, modify, distribute, or exploit our intellectual property without written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OFFERX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS.

  • OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRIOR TO THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless OfferX, its officers, employees, and partners from any claims, damages, or expenses arising out of your use of the Site, your listings, or your violations of these Terms.

9. Third-Party Services

The platform may link to or integrate with third-party services (MLS, lenders, insurers, inspectors). We are not responsible for their actions, terms, or content.

10. Termination

We may suspend or terminate your access to the Site at our discretion, with or without notice, for conduct that violates these Terms or harms OfferX, other users, or third parties.

11. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of [Insert State, e.g., Colorado], without regard to conflict of law principles.

  • Any disputes shall be resolved by binding arbitration in [Insert City/State], except where prohibited by law.

12. Changes to Terms
